TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using RefStage ("the App"), operated by Samoremi LLC ("we," "us," or "our").

By using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. ACCEPTANCE OF TERMS AND ELIGIBILITY

By downloading, installing, or using RefStage, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

You must be at least 13 years old to use this App. By using the App, you represent that you are at least 13 years of age. If you are between 13 and 18 (or the age of legal majority in your jurisdiction), you represent that your legal guardian has reviewed and agreed to these Terms.

We may modify these Terms from time to time. If we make material changes, we will notify you by displaying a notice within the App. Your continued use of the App after such modifications constitutes acceptance of the updated Terms.

2. DESCRIPTION OF SERVICE

RefStage is a vision board and reference management application designed for artists and creative professionals. The App allows you to organize, view, and manage reference images and notes on your device.

3. LOCAL DATA STORAGE

RefStage is a local-first application. This means:

  • All your content (images, notes, boards, and creative work) is stored locally on your device and never transmitted to external servers
  • Anonymous error tracking and optional analytics may transmit non-personal diagnostic data to third-party services as described in our Privacy Policy
  • We do not collect, transmit, or store your personal information or user content on any external servers
  • You are solely responsible for backing up your data
  • Uninstalling the App or clearing app data will permanently delete your locally stored information

    • 4. USER CONTENT

    You retain full ownership of any content you store in the App ("User Content"). You are solely responsible for:

  • Ensuring you have the right to use any images or content you store
  • The legality of your User Content under applicable laws
  • Maintaining backups of your User Content

    • We do not claim any ownership rights over your User Content.

    5. ACCEPTABLE USE

    You agree not to use the App to:

  • Store content that violates any applicable laws
  • Infringe upon the intellectual property rights of others
  • Store content that is harmful, threatening, abusive, or otherwise objectionable
  • Reverse engineer, decompile, or attempt to extract the source code of the App
  • Use automated systems to access or interact with the App in unauthorized ways

    • 6. INTELLECTUAL PROPERTY

    The App, including its design, features, functionality, software, graphics, logos, and branding, is owned by Samoremi LLC and protected by United States and international intellectual property laws. You may not:

  • Copy, modify, or distribute the App
  • Reverse engineer or attempt to extract the source code
  • Use our trademarks or branding without permission

    • 7. FEEDBACK AND SUGGESTIONS

    By submitting any feedback, suggestions, ideas, or feature requests regarding the App ("Feedback") through any channel — including in-app, email, our website, or social media — you accept and agree to be bound by these Terms, whether or not you have downloaded or used the App. Any Feedback you provide is entirely voluntary. By submitting Feedback, you agree that:

  • We are free to use, implement, modify, or decline any Feedback without restriction or obligation
  • Feedback does not create any confidential relationship or obligation on our part
  • You do not acquire any ownership, rights, or entitlement to any features, code, or intellectual property resulting from your Feedback, even if we implement your suggestion in whole or in part
  • No compensation is owed to you for any Feedback, regardless of whether it is used
  • We retain sole discretion over the development and direction of the App

    • 8. THIRD-PARTY SERVICES

    The App uses the following third-party services to provide and improve functionality:

  • Sentry (Functional Software, Inc.): Anonymous error and crash reporting
  • PostHog (PostHog, Inc.): Optional anonymous usage analytics (opt-in only)
  • Cloudflare, Inc.: Hosting for our update-check and license-verification server
  • Google Play Integrity (Google LLC): License verification on Android

    • These services receive only non-personal diagnostic, configuration, or license-verification data as described in our Privacy Policy. No user content (images, notes, or boards) is ever transmitted to these services.

    By using the App, you acknowledge that this data may be processed by these services in accordance with their respective privacy policies. We are not responsible for the practices of these third parties.

    9. PURCHASES AND PAYMENTS

    The App may be available for purchase through the Apple App Store or the Google Play Store. On desktop platforms where direct sales are offered, purchases are processed by Paddle (https://www.paddle.com), our payment processor. All purchases are processed by the applicable platform. By making a purchase, you agree to the payment terms of that platform.

    Refunds are handled exclusively by the platform through which you made the purchase:

  • Apple App Store: Request refunds through Apple (https://support.apple.com)
  • Google Play Store: Request refunds through Google Play (https://support.google.com/googleplay)
  • Paddle (where applicable): Request refunds through Paddle (https://www.paddle.com) or by contacting support@refstage.com

    • We reserve the right to change pricing with advance notice. Price changes will not affect purchases already completed.

    10. APP STORE THIRD-PARTY TERMS

    If you downloaded the App from the Apple App Store or Google Play Store, you acknowledge and agree that:

  • These Terms are between you and Samoremi LLC only, not with Apple Inc. ("Apple") or Google LLC ("Google")
  • Apple and Google have no obligation to furnish any maintenance or support services with respect to the App
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google for a refund of the purchase price (if any); to the maximum extent permitted by applicable law, Apple and Google have no other warranty obligation with respect to the App
  • Apple and Google are not responsible for addressing any claims by you or any third party relating to the App
  • Apple and Google are not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim
  • Apple and Google and their subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary

    • 11. DISCLAIMER OF WARRANTIES

    THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that:

  • The App will meet your specific requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • Any defects in the App will be corrected

    • 12. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMOREMI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or content
  • Loss of profits or revenue
  • Business interruption
  • Any other pecuniary loss

    • ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

    OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE ACTUALLY PAID TO SAMOREMI LLC FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of these exclusions or limitations may not apply, and you may have additional rights.

    13. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless Samoremi LLC, its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the App or violation of these Terms.

    14. DISPUTE RESOLUTION

    Before filing a claim against Samoremi LLC, you agree to contact us at support@refstage.com and attempt to resolve the dispute informally. Please provide your name, a description of the dispute, and your desired resolution. We will attempt to resolve the dispute within 30 days.

    If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall occur in the State of California, United States, or via videoconference if both parties agree. The arbitrator's decision is final and binding.

    Either party may seek injunctive relief in court to prevent infringement of intellectual property rights or unauthorized access to the App.

    BY AGREEING TO THESE TERMS, YOU AND SAMOREMI LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR SIMILAR PROCEEDING.

    You agree that any claim or cause of action arising from these Terms or the App must be filed within one (1) year after such claim arose or be forever barred.

    15. FORCE MAJEURE

    The App may not be available due to reasons outside our reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, infrastructure failures, cyberattacks, pandemics, or failures of third-party services (including app store platforms). We shall not be liable for any delay or failure to perform resulting from such events.

    16. TERMINATION

    We reserve the right to terminate or suspend your access to the App at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

    Upon termination, your right to use the App immediately ceases. Sections that by their nature should survive termination will survive, including intellectual property rights, feedback license, limitation of liability, indemnification, and dispute resolution.

    17. EXPORT COMPLIANCE

    You represent and warrant that you are not located in a country subject to a United States government embargo or designated as a "terrorist supporting" country, and you are not listed on any United States government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.

    18. GOVERNING LAW AND JURISDICTION

    These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

    Subject to the arbitration provisions in Section 14, you and Samoremi LLC agree that any judicial proceeding will be brought in the federal or state courts located in California, United States. Both parties consent to venue and personal jurisdiction in such courts.

    If you are a consumer based in the European Union, nothing in these Terms shall affect any mandatory consumer protection rights you may have under applicable EU or local law.

    19. ASSIGNMENT

    You may not assign, transfer, or delegate these Terms or your rights under them without our prior written consent. We may freely assign or transfer these Terms to any successor, affiliate, or third party.

    20. SEVERABILITY

    If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

    21. ENTIRE AGREEMENT

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Samoremi LLC regarding the App and supersede all prior understandings and agreements.
